Unhappy sytstem file not suitable

Hi can anyone please help, I appear to have aquired a problem when trying to load programs from cd including programs I have previously been able to use. When I try to install the disk up pops an error message C:\WINDOWS\SYSTEM32\AUTOEXEC.NT the system file is not suitable for running ms-dos and microsoft windows applications. Where did this file come from and is there anyway to get rid of it so that I may load and use the programs. I am using the windows xp operating system. I have tried downloading a program to get rid of errors and bugs but this has not helped with my problem.

please please any advice?
